Financing の Internal control

Financing に関する Internal control。Loan や Bond による借り入れ、株式の発行による資金調達、金利の計算などに関する統制。Segregation of duty（職務分離）をしっかりと行う。

Board of directors の Authorization

Debt transaction や Capital stock transaction は金額が大きく、Board of directors か、Board of directors に委任された者が承認を行う。

Minutes of board of directors meetings（取締役会議事録）に記録される。

また、Dividends の承認も Board of directors が行う。

Stock registrar への委託

新株発行の際には、Stock registrar（新株記録係）が業務代行を行う。Stock registrar は、新株発行が Article of incorporation（定款）と Board of directors の Authorization にもとづいていることを確認する。Record-keeping function。

この Stock registrar は、Bank や Brokerage がうけおうことが多い。外部に依頼することで、Control risk を下げることができるが、Cost がかかる。

Stock transfer agent への委託

Stock transfer agent（株式名義書換代理人）は、Stockholder records の Maintain と Stock ownership の Transfer の処理を行う。Custody function。

Accounting department の Recording

Accounting department（経理部）は、Debt transaction や Capital stock transaction を Ledger に記録する。

Treasury department による Cancel

Stock を Cancel（消却）したら、Re-issuance 防止のためにスタンプを押すか、穴をあける。Custody function。

Independent trustee による Custody

Independent trustee にBond の管理を委託する。

Inspection

Safe deposit box の Security とRecord の Investment を Compare。Completeness と関連。

Accounting record の Receipt から Bank statement に Trace

Stock registrar に Confirmation を送付して Issuing shares と Outstanding shares の Number（数）を確認する。

Stock transfer agent に Confirmation を送付して Issuing shares と Outstanding shares の Number（数）を確認する。

Stock issuance の Proceeds を Analysis

Stock options の Granting について Vote of the board of directors まで Trace

Loan agreements の Copy を Obtain、そして Inspect

Bank confirmation で Loan を確認する。誤って Sales に Record した仕訳も Detect できる。

Debenture について Trustee から Confirmation を Obtain 。Sinking fund についても Trustee から Confirmation 。

Private placement（私募）により Bond を発行した場合は、Issue による Cash receivedを Accounting records まで Trace

Stated dollar amount に関する Underlying loan contract を Inspect

Discount や Premium の Amortization を Recalculate

完済した Canceled notes を Inspect

Interest expense と Bond payable の Amount を Compare

Rights and Obligations

Management に Inquiry

Loan や Law などによる Stockholders’ equity accounts の Restrictions を Verify

Debt Covenants や Collateral について Loam documents を Inspect

Bond が Legality に Issue されていることの Opinion を Legal counsel から Obtain していることを確認する。

Presentation and disclosure

GAAP に準拠して Disclosure されているか Inspect。

Retained earnings が Loans 、Agreements 、State law などによって Restriction されていないか、Management に Inquiry 、Disclosure を確認する。

Renewal の Note payable を Inspect 。Current と Non current が正しく Present されているか確認する。
