Dodd-Frank Act

ドッドフランク法。正式名称は、Dodd–Frank Wall Street Reform and Consumer Protection Act。SOX法同様、例によってクソ長いので Dodd frank act といわれる。法案提出したドッドさんとフランクさんの名前から Dodd frank act。

Consumer Protection の名のとおり、消費者保護を含めた金融改革法案。

Investor Protections and Improvements to the Regulation of Securities Introduction

投資者の保護および証券規制の改善。Title IX。経営者の Compensation について、Investor への Accountability を規定している。

経営者の Compensation については、少なくとも3年に1回 Shareholders の承認決議を求めている。また、Compensation committee of the board の member は Independent していなければならない。

Corporate governance の強化についても規定しており、Board of director の Chairman が CEO を兼任するときには、Investor に、その理由を Disclose しなければならない。
