Agent authority の Type

◎Agent の Authority
　代理人の権限。

　・Actual authority（現実の権限）
　・Apparent authority（表面上の権限）　

○Actual authority
　現実の権限。Principal が Agent に与えた Authority 。

　・Express authority（明示の権限）
　・Implied authority（黙示の権限）　

・Express authority
明示の権限。Principal が Writing でも Oral でも Authority を Agent に与えることを Express 。

・Implied authority
黙示の権限。Principal が Express していないが、Agent に Authority があると、Reasonable に判断される。

○Apparent authority
表面上の権限。Actual に Agent には Authority を与えられていないが、Third party から見て Authority があると、Reasonable に判断される。

○Without authority
Agent が の Authority をこえて Third party と Contract をかわしたとき、その Contract には Principal も Third party も Bound されない。

もし、Principal がその Contract を Hold することを望む場合、Principal は Third party が Contract から Withdraw する前に、Agent の Unauthorized な Act を Ratify する必要がある。

○Authority の Termination
Agency が Terminate すると、Agent の Actual authority も Termination となる。

ただし、Third party の Condition によっては、Apparent authority が継続する。

　・Third party が Agent と Deal on credit をしたことがある
・Third party が Agent を Specially に Accredit
・Third party が Agent と Deal を Begin

・Operation of law による Termination
Operation of law によって、Agency が Terminate すると、Actual authority だけでなく Apparent authority も Termination となる。すべての Authority が Termination 。

Operation of law の Termination は、

　→ Subject of matter が Illegal 、Destruction 、Impossibility
→ Principal または Agent が Death
→ Agent が Incompetent
→ Agent が Bankruptcy
