Agent（代理人）が Principal（本人）に代わって、Contract の権限をもつ。

Agency の Creation

Principal and agent relationship (Agency relationship) の成立

・Consent
・Operation of law　　

 

Consent

合意。Principal and agent relationship の成立には、Mind の Meeting と Consent が必要となる。

Consent の要件

  • Consideration (約因) は必要なし
  • Principal には、Contractual capacity が必要
  • Agent には、Sufficient mental and physical ability が必要
  • Consent は Express でも Implied でもよい
  • Consent には、Contract (契約書) などの Special な Form は必要なし
  • Statute of frauds が Apply されると Written (書面) が必要
  • Power of attorney (委任状) が作成されることもある

Principal の Contractual capacity

Agency relationship の Prerequisite (前提条件) として、Principal には Contractual capacity がなくてはならない。Principal は Legal consent を与えなくてはならないので、Contractual capacity が必要となる。

 

Power of attorney

委任状。Principal が Agent に Power of attorney を与えることもある。Power of attorney は Specific transaction に対する Agent の Authority に限定される。

Power of attorney の特徴

・Principal の Sign が必要 (Agent の Sign は必要ではない）
・Agent の名前 が記される
・Agent に与えられた Authority が記される
・Principal の Capacity がなくなると Valid がなくなる

 

○Durable power of attorney
Principal の Capacity がなくなっても Valid を失わない Power of attorney

 

Operation of law による Creation

Consent がなくても、Law が適用されて、Agency が Creation することがある。

・Guardianship （後見関係）
・Agency by necessity（事務管理による代理）
・Apparent agency（表見代理）

 

Agency の Termination

代理の消滅。

・Acts of parties（当事者の行為）による Termination
・Operation of law による Termination

 

Acts of parties による Termination

当事者の行為や契約内容による Agency の消滅。

・Lapse of time
・Fulfillment of purpose
・Mutual agreement
・Revocation of authority
・Renunciation by the agent

 

Operation of law による Termination

法の適用による消滅。

・Subject of matter が Illegal 、Destruction 、Impossibility
・Principal または Agent が Death
・Agent が Incompetent
・Agent が Bankruptcy

Operation of law による Agency の Terminate では、すべての Agent の Authority が Termination となる。Actual authority も Apparent authority も Termination 。

 

Agency coupled with an interest

利害関係のある代理。通常の代理と異なる。Irrevocable agencies （取り消し不能の代理）

 

Ratification

追認。Agent でないものの Unauthorized act performed を後から Principal が認める。
