Formation of business entities

Business entities の Formation (設立) 。

アメリカにはさまざまな Business form がある。　

　・Sole proprietorship
　・Corporation
　・Partnership
　・Limited liability company
　・Joint venture

などなど  

Business form や Business entity によって、Formation における Filing (登録) の Process や Requirement が異なる。

各 State の State law に依拠する。　

Corporation の Formation

Corporation 、会社。Artificial legal entity。Owners は、Limited liability 。

Corporation は、State に Articles of incorporation (定款) を Filing (登録) することで Formation となる。

Articles of incorporation の Filing

Articles of incorporation

定款。State の Secretary of State (長官) に提出する。Charter 。
Articles of incorporation に記載する一般的な項目は、

　・Corporate form の Name
　・Registered office の Address
　・Incorporators の Name and address
　・Registered agent の Name
　・Number of authorized shares
　・Corporation の Purpose
　・Corporation の Power
　・Board of directors の Name　

○Board of directors の Name
Board of directors の Directors の Appointment を Articles of incorporation で行うこともできる。

Appointment は、その後の Organizational meeting での Appointment でも行える。

Incorporator

設立者。Articles of incorporation に Sign 。

あとの Process は、Promotor がおこなう。

Promotor

発起人。Corporation の Formation をすすめる中心人物。

Promotor は、Preincorporation (設立前) の Corporation に Fiduciary duty をもつ。Corporation はまだ存在していないので、Corporation の Agent ではない。　

Promotor が以下の Processesを行う

　・Articles of incorporation の Preparation (準備)
　・Stock の Subscription (引き受け)の Preparation
　・Third party と Corporation の Contract の Preparation
　・Employment

○Third party と Corporation の Contract の Preparation
Corporation は、Promotor と Third party との Contract を Adoption (決定) するか決定する。 

Corporation の Adoption により、Corporation 、Promotor と Third party との Contract における Condition が決まる。

・Corporation が Contract を Adopt
Corporation と Third party が Bound 。Promotor は、Third party に対して Liable 。　

・Corporation が Contract を Adopt しない
Promotor と Third party が Bound 。　

・Corporation が Contract を Adopt (Novation つき)
Novation (当事者代替契約) は、元の Contract が消え、新しい Contract が発生。

Corporation と Third party が Bound 。Promotor は、Third party に対して Liable をおわない。　

Certificate of authority の Obtain

Articles of incorporation が受理されると、Certificate of authority を Obtain 。

Organizational meeting の Hold

Organizational meeting (設立総会) の開催。

Incorporator は、Organizational meeting を開催し、以下を行う。

　・By-laws (附属定款) の Adopt
　・Directors の Appointment
